Terms governing your access to and use of Seed Audio

2026/07/01

Effective Date: [Month DD, YYYY]
Last Updated: [Month DD, YYYY]

These Terms of Service (“Terms”) govern your access to and use of [Website Domain], Seed Audio 1.0 voice generation features, credit purchases, subscription plans, account tools, and any related web or API services we provide (collectively, the “Service”).

The Service is operated by [Company Legal Name] (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, creating an account, purchasing credits, starting a subscription, or generating audio, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Seed Audio 1.0 is a voice generation and audio creation service that allows users to generate AI audio outputs from text prompts and related inputs.

The Service may include, depending on availability:

  • Web-based audio generation
  • Credit-based usage
  • One-time credit packs
  • Subscription plans
  • Generation history
  • Downloadable audio outputs
  • API Access — Coming Soon
  • Voice Library — Coming Soon
  • Team features — Coming Soon

Features marked “Coming Soon” are not guaranteed to be available at any specific time. We may modify, delay, limit, or discontinue any planned feature.

2. Accounts

You may need to create an account to use certain parts of the Service. You agree to provide accurate information and keep your login credentials secure.

You are responsible for all activity under your account, including credit usage, generated content, API usage when available, and any activity by users who access your account.

You must notify us promptly if you believe your account has been compromised.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase credits or subscriptions.

If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

4. Credits and usage

The Service uses credits to measure audio generation.

Unless otherwise stated:

  • 1 credit = 1 second of generated audio
  • 60 credits = 1 minute of generated audio
  • Credit cost is calculated based on generated output length
  • You will be shown an estimated credit cost before generation where technically possible
  • Credits are charged only for successful generations
  • Failed generations may be automatically refunded in credits or not charged

We may offer different credit rates, multipliers, or pricing for advanced features in the future, such as higher-quality output, longer generation, voice cloning, reference audio, batch generation, API usage, or other premium workflows. If we do, we will disclose the applicable credit cost before use.

5. Free trial credits

New accounts may receive a one-time free trial credit allocation.

Unless otherwise stated:

  • Free trial users receive 30 credits
  • 30 credits are approximately equal to 30 seconds of generated audio
  • Free trial credits are issued once per account
  • Free trial credits have no cash value
  • Free trial credits cannot be transferred, refunded, resold, or exchanged
  • We may limit, revoke, or expire free trial credits to prevent abuse

We reserve the right to restrict free trial usage, including by account, device, email, payment method, IP address, region, or other anti-abuse signals.

6. Paid credit packs

Paid credit packs are one-time purchases of credits.

Unless otherwise stated:

  • Paid credits never expire
  • Paid credits may be used in the web app
  • Paid credits may be used for API Access when API Access becomes available
  • Paid credits are associated with your account
  • Paid credits are not transferable unless we approve otherwise
  • Paid credits have no cash value except where required by law

Paid credits are intended for usage of the Service and are not stored-value cards, bank deposits, or financial instruments.

7. Custom credit purchases

We may allow users to purchase a custom amount of credits. Custom credit purchases follow the same rules as paid credit packs unless otherwise stated at checkout.

We may set minimum or maximum purchase amounts, reject suspicious transactions, or require additional verification for large purchases.

8. Subscription plans

We may offer subscription plans for high-volume usage.

Unless otherwise stated, the Scale Subscription includes:

  • 45,000 credits per month
  • Approximately 750 minutes of generated audio per month
  • Approximately 12.5 hours of generated audio per month
  • Lower per-minute pricing compared with standard credit packs
  • Higher concurrency
  • API Access — Coming Soon
  • Voice Library — Coming Soon
  • Team seats — Coming Soon

Subscription credits refresh every billing cycle. Unless expressly stated in your plan, subscription credits do not permanently roll over after the billing cycle ends.

Subscriptions renew automatically until cancelled. You authorize us and our payment processor to charge your payment method on a recurring basis.

You may cancel future renewals through your account settings or by contacting support. Cancellation stops future renewal charges but does not automatically refund charges already paid.

9. Pricing changes

We may change prices, credit allocations, subscription benefits, or credit consumption rules from time to time.

For one-time credit packs, changes will not reduce credits you have already purchased.

For subscriptions, material changes will apply at the next renewal or after notice, unless required sooner by law or necessary to prevent abuse, fraud, or technical harm.

10. Payments and taxes

Payments may be processed by third-party payment providers, such as Stripe or other providers we choose.

You agree to pay all charges shown at checkout, including applicable taxes, fees, and currency conversion charges. Taxes may vary based on your location and billing information.

We are not responsible for fees charged by your bank, card issuer, or payment provider.

11. Refunds

Refunds are governed by our Refund Policy. The Refund Policy is part of these Terms.

If a generation fails due to a technical issue, we may refund the corresponding credits automatically or manually after review.

12. User inputs

You may submit prompts, text, scripts, reference materials, uploaded files, or other materials to the Service (“Inputs”).

You represent and warrant that:

  • You have the rights needed to submit your Inputs
  • Your Inputs do not violate laws or third-party rights
  • Your Inputs do not contain unauthorized personal data, private information, or protected content
  • Your Inputs do not instruct the Service to create unlawful, deceptive, harmful, or infringing content

You are responsible for your Inputs and for how you use outputs generated by the Service.

You may not use the Service to clone, imitate, synthesize, or misrepresent a person’s voice, likeness, identity, or persona without appropriate rights, authorization, or consent.

You may not use the Service to:

  • Impersonate a real person without disclosure and consent
  • Create deceptive audio that suggests someone said something they did not say
  • Mislead listeners about the source, speaker, sponsor, or nature of generated audio
  • Create fraudulent, defamatory, harassing, or abusive voice content
  • Create or distribute unauthorized celebrity, public figure, or private individual voice imitations
  • Circumvent platform, legal, or contractual restrictions on voice or likeness use

If we launch a Voice Library in the future, your use of Voice Library assets will be subject to the rights, limitations, availability, and plan restrictions shown in the product or applicable policy.

14. Outputs

The audio and related materials generated through the Service are “Outputs.”

Subject to your compliance with these Terms, your plan terms, and applicable law, you may use Outputs you generate for personal or commercial purposes if your purchased plan or credit pack permits commercial use.

However:

  • Outputs may not be unique
  • Similar or identical outputs may be generated for other users
  • We do not guarantee that Outputs are copyrightable
  • We do not guarantee that Outputs are free from third-party rights
  • You are responsible for reviewing Outputs before publishing or commercial use
  • You are responsible for ensuring your use of Outputs complies with applicable law and platform rules

Free trial Outputs may be limited to evaluation use unless otherwise stated.

15. Prohibited uses

You may not use the Service to create, upload, generate, distribute, or assist with content that:

  • Violates any law or regulation
  • Infringes intellectual property, privacy, publicity, or contractual rights
  • Impersonates or deceives others
  • Enables fraud, scams, phishing, social engineering, or identity theft
  • Harasses, threatens, abuses, exploits, or defames any person or group
  • Creates non-consensual sexual, intimate, or exploitative content
  • Targets minors in a harmful, deceptive, or exploitative way
  • Promotes hate, violence, self-harm, terrorism, or extremist activity
  • Provides instructions for illegal or dangerous activity
  • Misrepresents political, financial, medical, legal, or emergency information
  • Bypasses safety systems, rate limits, access controls, or usage restrictions
  • Scrapes, resells, sublicenses, or reverse-engineers the Service
  • Uses the Service to train competing AI models without our written permission

We may suspend or terminate accounts that violate these restrictions.

16. Content review and enforcement

We may review, block, remove, or restrict Inputs, Outputs, accounts, or usage if we believe they violate these Terms, our policies, applicable law, or third-party rights.

We may also use automated systems, manual review, rate limits, abuse detection, and payment checks to protect the Service.

We are not obligated to monitor all content, but we may act when we detect or receive reports of misuse.

17. Third-party services and models

The Service may rely on third-party infrastructure, AI models, payment processors, hosting providers, analytics tools, security tools, and other vendors.

We are not responsible for third-party services, outages, policies, data practices, or terms except where required by law.

The Service is independent and is not affiliated with or endorsed by any third-party model provider, trademark owner, public figure, celebrity, or brand unless we expressly state otherwise.

18. Beta and coming soon features

Some features may be experimental, beta, waitlisted, or marked “Coming Soon.”

Beta or coming soon features may be changed, delayed, restricted, removed, or made available only to certain users. We do not guarantee availability, timing, performance, or compatibility of such features.

19. Service availability

We work to keep the Service available, but we do not guarantee uninterrupted, error-free, or secure operation.

The Service may be unavailable due to maintenance, outages, vendor issues, model limitations, network failures, abuse prevention, or events outside our control.

20. Intellectual property

We own the Service, including our website, software, design, branding, systems, documentation, and underlying technology, excluding materials owned by users or third parties.

You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Service except as allowed by these Terms or applicable law.

21. Feedback

If you send us feedback, suggestions, or ideas, you grant us a non-exclusive, worldwide, royalty-free right to use them without restriction or compensation.

22. Privacy

Our collection and use of personal information is described in our Privacy Policy. Our use of cookies is described in our Cookie Policy.

23. Suspension and termination

We may suspend or terminate your account or access to the Service if:

  • You violate these Terms
  • You misuse credits, payments, accounts, or the Service
  • We detect fraud, chargebacks, abuse, or security risk
  • We are required to do so by law
  • Your use creates legal, operational, or reputational risk

If your account is terminated for violation of these Terms, you may lose access to unused credits, subscription benefits, Inputs, Outputs, and account data, except where prohibited by law.

24. Disclaimers

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not guarantee that Outputs will meet your expectations, be error-free, be suitable for a particular use, or be legally safe for publication or commercial use.

25. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption.

To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to us for the Service in the three months before the claim arose, or USD $100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

26. Indemnification

You agree to defend, indemnify, and hold harmless [Company Legal Name], its affiliates, officers, directors, employees, contractors, and service providers from any claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your use of the Service
  • Your Inputs or Outputs
  • Your violation of these Terms
  • Your violation of law or third-party rights
  • Your misuse of a person’s voice, likeness, identity, or intellectual property

27. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service, email, or other reasonable means.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

These Terms are governed by the laws of [Governing Law Jurisdiction], without regard to conflict of law principles.
